These Terms of Service (“Terms”) govern your use of Needham Tech Studio’s website and services, including project inquiries, demos, and the Client Agreement flow. By accessing our site or purchasing services, you agree to these Terms.
Needham Tech Studio (“Needham Tech Studio,” “we,” “us,” or “our”) provides website and application design/development services and related maintenance/support plans.
Pricing shown on our website is provided as ranges and examples. Final scope, timeline, and cost may vary depending on requirements, content readiness, integrations, and revision needs. A project is only confirmed once you submit and sign a Client Agreement (or other written agreement) and the required deposit is received (unless otherwise agreed in writing).
If there is a conflict between these Terms and your signed Client Agreement, the Client Agreement controls for that project.
When paying by card, you authorize us and Stripe (our payment processor) to charge your payment method for the agreed amounts. Stripe may apply its own terms and fees.
For active websites and applications hosted/supported by Needham Tech Studio, a maintenance plan is required. Unless otherwise stated, maintenance is billed at $150 per month. Maintenance typically includes content updates, bug fixes, security patches, form monitoring, EmailJS maintenance, minor design adjustments, and priority support. Larger features, redesigns, or major changes are billed separately.
Minor updates are generally included under maintenance (when active). Larger changes or new features may require a separate estimate.
Unless otherwise agreed in writing, ownership of final project deliverables transfers to you after final payment is received. Until final payment is received, Needham Tech Studio retains ownership of all work product and may withhold launch, transfer, or handoff.
We retain ownership of all pre-existing materials, tools, frameworks, processes, code libraries, and know-how used to create your project. You receive a license to use these elements only as incorporated into your final deliverables.
Website content. The text, graphics, branding, design, code, layout, and other content on our website are owned by Needham Tech Studio (or our licensors) and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from our website content without prior written permission, except as permitted by law.
We may display completed work in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.
Third-party services, libraries, fonts, and tools may be used and remain subject to their respective licenses and terms.
Your project may use third-party services (e.g., Stripe, EmailJS, hosting providers). We are not responsible for third-party outages, policy changes, billing, or performance. You agree to comply with third-party terms and to maintain any required accounts.
You may not use our site or services to violate laws, infringe rights, distribute malware, attempt unauthorized access, or interfere with our systems.
Our website, demos, and services are provided “as is” to the extent permitted by law. We do not guarantee uninterrupted availability and we do not provide legal advice.
To the extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim relating to a project will not exceed the amounts paid to us for that project.
Either party may terminate a project consistent with the Client Agreement and/or written terms for that project. If maintenance is cancelled, hosting/support may be discontinued unless otherwise agreed.
Your use of our site is also governed by our Privacy Policy.
We may update these Terms from time to time. The “Last updated” date above will reflect the latest changes.
